Terms of Service

1. Introduction and Acceptance

Core Point is a full-stack development agency specializing in custom software development, web applications, SaaS solutions, web maintenance and hosting services. By engaging Core Point for development services or using our platforms, you agree to these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

We provide custom software development, SaaS platform creation, ongoing maintenance and hosting services. Specific project details, scope, deadlines, and deliverables are outlined in separate project agreements or statements of work. We make no guarantees regarding specific performance metrics unless explicitly agreed upon.

3. Payment Terms

Payment schedules, pricing and accepted methods are specified in individual project agreements. 30% of the payment is due upfront, the rest is due upon completion of the project. All fees are non-refundable unless otherwise specified on agreement.

4. Intellectual Property Ownership

Upon final payment, Core Point transfers ownership of custom deliverables to the client, excluding proprietary tools, frameworks, libraries, or pre-existing code. We retain rights to our development methodologies, processes and any third-party or open-source components used in projects. Clients are responsible for ensuring they have rights to any third-party content they provide.

5. Client Responsibilities

Clients must provide accurate project specifications, content, assets and system access within agreed timelines. Delays in client input may affect project timelines and may result in additional costs. Clients are responsible for obtaining necessary licenses for third-party content and ensuring compliance with applicable regulations.

6. Confidentiality

Both parties agree to maintain confidentiality of sensitive information including project details, business strategies and technical specifications. We will not disclose client information to third parties without consent, except as required by law.

7. Warranties and Disclaimers

Services are provided "as-is" without warranties beyond those explicitly stated in project agreements. We disclaim all implied warranties including merchantability and fitness for a particular purpose. We warrant only that deliverables will meet agreed specifications and function as described in project agreement.

8. Limitation of Liability

In no event shall Core Point's liability exceed the total fees paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages including lost profits, data loss or business interruption. This limitation applies regardless of the legal theory and even if we have been advised of the possibility of such damages.

9. Termination of Services

Either party may terminate services with beforehand notice. We may terminate immediately for non-payment or violation of acceptable use policies. Upon termination, clients are responsible for final payment for completed work up to the point of termination.

10. Acceptable Use

Clients may not use our services for illegal activities, spamming, distributing malware or overloading our systems. Prohibited activities include reverse engineering our software, attempting unauthorized access or violating third-party rights. Violations may result in immediate service suspension or termination.

11. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, government actions, internet outages or third-party service failures. Such events may extend project timelines without penalty to either party.

12. Updates to Terms

We may update these Terms of Service at any time. Changes will be posted on our website and become effective immediately. Continued use of our services after changes constitutes acceptance of the updated terms. We will notify clients of material changes via email or other forms of communication when possible.
